These Terms of Service ("Terms") govern your access to and use of the Novalyte AI platform (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Nature of the Service
Novalyte AI is a healthcare technology facilitator. The Service connects patients, clinics, healthcare professionals, and vendors, but Novalyte AI is not a medical provider, clinic, pharmacy, diagnostic service, or provider of medical advice. Novalyte AI does not diagnose, prescribe, or treat any condition. Licensed clinics and professionals are solely responsible for all medical decisions, patient care, prescribing, treatment, credentialing, and regulatory compliance.
2. Eligibility and Authority
You must be at least 18 years old and legally able to enter into these Terms. If you act on behalf of an organization, you represent that you have authority to bind that organization.
3. Accounts and Verification
Certain features require submission of business, professional, or operational information. You agree to provide accurate, current, and complete information and to update it as needed. Verification badges reflect review of submitted information and do not constitute endorsement, warranty, or guarantee of clinical outcomes or business practices.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms.
- Submit false, misleading, or fraudulent information.
- Attempt to access data or systems you are not authorized to access.
- Interfere with the proper functioning of the Service or impose unreasonable load.
- Use the Service to deliver medical advice, diagnosis, or treatment outside of an appropriate licensed clinical relationship.
- Scrape, resell, or redistribute participant data without authorization.
5. Relationships Among Participants
The Service facilitates introductions and transactions between independent participants. Novalyte AI is not a party to any clinical, employment, vendor, or commercial relationship formed through the Service unless explicitly stated in a separate written agreement. Clinics are independently owned and operated. Provider participation does not constitute endorsement unless explicitly stated.
6. Licenses and Intellectual Property
We grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose. We retain all rights, title, and interest in the Service, including all intellectual property. You retain ownership of information you submit and grant us the licenses necessary to operate the Service, including processing, displaying, and sharing submitted information as described in our Privacy Policy.
7. Fees and Payment
Certain features may require payment. Where applicable, fees and billing terms will be described at the time of signup or in a separate agreement. Unless required by law, fees are generally non-refundable.
8. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any verification, lead, application, or referral will result in a particular outcome. See our Medical Disclaimer for health-specific limitations.
9. Limitation of Liability
To the fullest extent permitted by law, Novalyte AI and its affiliates, officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising out of or related to your use of the Service, except to the extent such liability cannot be excluded under applicable law.
10. Indemnification
You agree to indemnify and hold harmless Novalyte AI from claims, damages, and expenses arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
11. Termination
We may suspend or terminate access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive termination will remain in effect.
12. Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction in which Novalyte AI is organized, without regard to conflict-of-laws principles. We will attempt to resolve disputes informally; unresolved disputes will be resolved through binding arbitration or in the appropriate courts, as required by law.
13. Changes to These Terms
We may modify these Terms from time to time. We will update the "Last updated" date above when we do. Material changes will be communicated through the Service or by other reasonable means. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
